Boot onto DVD of Windows Server 2008
Choose “Repair your computer”
Launch cmd
Go to c:\windows\system32
Rename Utilman.exe to Utilman.exe.bak
Copy cmd.exe to Utilman.exe
Reboot on Windows
Do the keyboard shortcut Windows + U when on the logon screen
net user administrator Newpass123 inside the cmd
log on with the domain admin account and this new pass
change the password to remember it if needed
Reboot on the DVD to put back the original Utilman.exe

I'm not sure when they started this, but system utilities are signed now and cannot easily be replaced afaik. For 2008 I imagime it still works, 2010, probably not anymore. But I'm just guessing here.

The reason I posted that was I had a 08R2 Enterprise Server setup at the office and about 3 months ago changed the password and forgot it (damn u 32char pass)... but offline nt pass, ntpasswd, samuari from geeksquad mri boot cd.. non worked. They all said successfully cleared and written back to the hive but on reboot, nothing.
That workaround works on the latest install version of 08. Tested, like a glove.

Thanks for the reply, I will take re-installign windows as my last step, I already have kaspersky internet security 2012, I also installed Malewarebytes and did not find anything, I need someone to analyze the file and tell me if its just another false positive warning or a true trojan.
